Terms of Service

These Terms of Service (“Agreement”) govern the bookkeeping services provided by Nicole Locker Bookkeeping (“Bookkeeper”) to the Client.


1. Services

Nicole Locker Bookkeeping provides professional bookkeeping services, which may include:

  • Monthly bookkeeping
  • Bank and credit card reconciliations
  • Financial statement preparation
  • QuickBooks Online support
  • Catch-up bookkeeping
  • QuickBooks cleanup
  • Other bookkeeping services as agreed upon in writing

Services not specifically included in the engagement may require a separate agreement or additional fees.


2. Client Responsibilities

The Client agrees to:

  • Provide complete and accurate financial information.
  • Provide requested documentation in a timely manner.
  • Maintain ownership and responsibility for all business decisions.
  • Review financial statements and notify Bookkeeper of any concerns promptly.
  • Maintain active access to required bookkeeping software.

3. Fees & Payment

Monthly services begin at the agreed-upon monthly rate.

Invoices are due upon receipt.

Late payments may result in suspension of services until the account is brought current.

Past-due balances may be subject to a late fee of 1.5% per month (18% annually) or the maximum rate permitted by law.


4. Scope Changes

If the Client requests services beyond the agreed scope, including significant cleanup work, historical bookkeeping, consulting, or special projects, additional fees may apply.

The Client will be notified before additional work begins.

Nicole Locker Bookkeeping strives to respond to client communications within one business day.

Business hours are Monday through Friday, 8:00 a.m. to 5:00 p.m. Central Time, excluding holidays.


6. Confidentiality

All client financial information will be treated as confidential.

Information will not be disclosed except:

  • with the Client’s permission,
  • when required by law,
  • or as necessary to provide agreed-upon services.

7. Third-Party Software

Clients are responsible for maintaining subscriptions to software such as QuickBooks Online unless otherwise agreed.

Nicole Locker Bookkeeping is not responsible for outages, errors, or policy changes made by third-party software providers.


8. Financial Records

Nicole Locker Bookkeeping prepares bookkeeping records based on information provided by the Client.

The Client remains responsible for:

  • business decisions,
  • tax filings,
  • payroll compliance,
  • legal compliance,
  • and the accuracy of information submitted.

9. No Tax or Legal Advice

9. Client Review & Approval

The Client agrees to review all financial reports provided by Nicole Locker Bookkeeping in a timely manner and notify the Bookkeeper of any questions or discrepancies. While every effort is made to ensure accuracy, the Client is ultimately responsible for reviewing and approving their financial records.


10. No Tax or Legal Advice

Bookkeeping services do not constitute:

  • tax preparation,
  • tax advice,
  • legal advice,
  • investment advice,
  • or CPA services.

Clients should consult their CPA, attorney, or financial advisor as appropriate.

Either party may terminate services with 30 days’ written notice.

The Client remains responsible for payment of all services performed through the termination date.

Upon final payment, reasonable assistance will be provided to transition bookkeeping records to the Client or another provider.


11. Limitation of Liability

Nicole Locker Bookkeeping’s total liability shall not exceed the fees paid by the Client during the three months immediately preceding the claim.

Nicole Locker Bookkeeping shall not be liable for indirect, incidental, consequential, or special damages.

Neither party shall be liable for delays caused by events beyond reasonable control, including natural disasters, internet outages, government actions, or other unforeseen events.

This Agreement shall be governed by the laws of the State of Texas.

These Terms, together with any signed engagement letter or proposal, constitute the entire agreement between the parties.
